Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Modulus platform ("Service"), operated by Martecko under Modulus Digital ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By accessing or using the Service at modulusdigital.in, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Modulus is a software-as-a-service (SaaS) analytics platform that aggregates and visualizes data from third-party advertising and commerce platforms. The Service includes, but is not limited to:

  • Campaign, ad set, and ad-level analytics from Meta Ads (Facebook and Instagram)
  • Performance analytics from Google Ads
  • Revenue, order, and profitability analytics from Shopify
  • Creative performance tracking and ad fatigue detection
  • Competitor monitoring and online reputation management
  • AI-powered insights and recommendations via integrated AI agents
  • Unified dashboards, reports, and data exports

We do not guarantee that the data displayed by the Service will exactly match the data shown in the original third-party platforms due to API limitations, data processing delays, and differences in attribution models.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Keeping your account information accurate and up to date

You may sign in using email and password or through Google OAuth. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscription and Billing

The Service is offered under subscription plans with the following terms:

  • Plans: We offer Free, Pro, and Agency subscription tiers with varying feature access and usage limits.
  • Currency: All prices are quoted and charged in Indian Rupees (INR).
  • Billing cycles: Subscriptions are billed monthly or annually, depending on the plan you select.
  • Payment processor: All payments are processed securely through Razorpay. By subscribing, you also agree to Razorpay's terms of service.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  • Price changes: We may change subscription prices with at least 30 days' notice. Price changes apply at the start of your next billing cycle.
  • AI usage limits: Certain plans include limits on AI-powered features (e.g., AI agent queries). Exceeding these limits may require upgrading your plan.

5. Free Plan and Trials

The Free plan provides limited access to the Service at no cost. We reserve the right to modify or discontinue the Free plan at any time. Free plan users are subject to the same Terms as paid subscribers. We may offer promotional trials of paid features from time to time, subject to additional terms communicated at the time of the offer.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Access data from third-party platforms in violation of their terms of service
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or scraping tools to access the Service beyond its intended API
  • Transmit malicious code, viruses, or any harmful content
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service in any manner that could damage, disable, or impair our infrastructure
  • Misrepresent your identity or affiliation with any person or organization

7. Third-Party Platform Integrations

The Service connects to third-party platforms (Meta, Google, Shopify, and others) through their official APIs. Your use of these integrations is subject to the respective platform's terms of service and privacy policies. We are not responsible for changes to third-party APIs, data availability, or service disruptions caused by third-party platforms. You are responsible for maintaining valid API credentials and permissions for your connected accounts.

8. Intellectual Property

All rights, title, and interest in the Service, including its design, code, features, documentation, and branding, are owned by Martecko / Modulus Digital or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

  • You retain ownership of all data you provide to or generate through the Service.
  • You grant us a limited license to process your data solely to provide the Service.
  • We may use aggregated, anonymized data for service improvement and analytics purposes.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
  • We are not liable for any decisions you make based on data or insights provided by the Service.
  • In no event shall our total liability exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Martecko, Modulus Digital, and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the relationship as follows:

  • By you: You may cancel your subscription and delete your account at any time from your account settings.
  • By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice unless immediate action is necessary.
  • Effect of termination: Upon termination, your right to access the Service ceases. We will delete your data in accordance with our Privacy Policy. Any accrued obligations (including outstanding payments) survive termination.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
